Terms of Service

Agreement and Jurisdiction

These Terms govern the provision of taxonomy mapping and data services by Citrus Peak Digital Pty Ltd (ABN: 64 667 208 415). These Terms are governed by the laws of Victoria, Australia. Acceptance of a Quote or the provision of data to us for processing (via CSV, file upload, or API access) constitutes your express agreement to be bound by these Terms.

Services and Deliverables

Scope of Work: We provide taxonomy mapping services as specified in a written Quote or Statement of Work (SOW).
The Deliverable: Unless otherwise agreed in writing, the "Deliverable" consists of a data file (e.g., CSV/XLSX) or a system sync containing suggested category paths and attribute mappings for the product metadata you provide.
Exclusions: Unless explicitly stated in a Quote, our services do not include:
- Content creation (writing/editing product titles or descriptions);
- Image optimisation or alt-text creation;
- Direct technical support for third-party marketplace accounts; or
- Ongoing monitoring of taxonomy changes once a Project is marked as complete.

Project Terms and Payment

Project-Based: Services are performed on a per-project basis. Quotes are valid for 30 days.
Payment: Unless otherwise stated in your Quote, a 50% commencement fee is required, with the balance due upon delivery of the final mapping data.
Withholding Delivery: We reserve the right to withhold the final data file until final payment is confirmed.

Optional System Access (Shopify & Third-Parties)

If you choose to grant us API or "Collaborator" access to your Shopify store or other platforms:

Authorisation: You grant us a limited licence to read product metadata and write categorised data back to your store as part of the Project scope.
Platform Risks: We are not liable for conflicts with other third-party applications, custom theme errors, or Shopify API changes that may affect the display or performance of the data.
Access Management: You are responsible for revoking our access once the Project is finalised.

The "Final Review" & Liability Shield

Subjectivity of Data: You acknowledge that taxonomy mapping is inherently subjective and that marketplace categorisation logic is subject to change without notice.
Client Responsibility: You are 100% responsible for the final review and validation of all mapping results. By pushing the data live to a marketplace or Shopify storefront, you signify your final approval.
No Marketplace Guarantee: We are not liable for account penalties, listing rejections, or "search suppression" on third-party platforms (such as Amazon, eBay, or Etsy) resulting from the use of our suggested mappings.

Intellectual Property

Our Proprietary Engine: We own all rights, titles, and interests in the proprietary mapping engine used to generate the Deliverables, including all multi-step automated workflows and validation logic.
No Reverse Engineering: You are strictly prohibited from attempting to decompile, reverse-engineer, or use automated "bots" to probe our system to discover our internal logic or prompts.
Data Licence: You retain ownership of your original product data. You grant us a de-identified licence to use project metadata to improve our internal mapping models.

Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law (ACL):

Liability Cap: Our total liability for any claim arising out of a Project is strictly limited to the total fees paid by you for that specific Project.
No Consequential Loss: We are not liable for any indirect or consequential losses, including lost profits, lost sales, or reputational damage.
"As-Is" Basis: Our service is provided on an "as-is" basis without warranties regarding marketplace acceptance or sales performance.

Cancellations and "Kill Fees"

Once a Project has commenced and data processing has started, any cancellation by the Client will incur a "Kill Fee" equal to 50% of the Quote value to cover invested computational and human review resources.
